In consideration of the mutual promises and covenants herein contained, it is agreed and understood as follows: Rights Granted: Participant does hereby authorize Producer to record, photograph, or otherwise capture Participant’s Performance, voice, pohotograph, likness, appearance and activities on tape, film, digitally, or otherwise; to edit the same at Producer’s discretion and to include it with the performance of others and with various animation effects, visual effects, sound effects, special effects and music; to incorporate same into the Program or not; to use and to license others to use such recordings, photographs, data and other results and proceeds of my performance in any manner or media whatsoever, including without limitation unrestricted use for purposes of publicity, advertising, and promotion of the Media. Producer shall own all the results and proceeds of Participant’s services in connection with the Program including but not limited to any live performances, audiovisual works or interviews embodied in the Program, together with any so-called "behind-the-scenes" and "making-of" photographs and audio and audiovisual recordings which display, duplicate or reproduce any part of Participant’s and Participant Affiliates activities in connection with Participant’s appearance on the Program except that Participant shall retain all ownership in Participant’s musical compositions and pre-existing sound recordings (“The Works”). The Works shall be considered “works made for hire” for Producer, specially commissioned as part of an audiovisual or multimedia work, as contemplated by the provisions of the United States Copyright Act of 1976. If for any reason any one (1) or more of The Works is determined not to be a “work made for hire,” then Participant hereby irrevocably grants, transfers, conveys and assigns to Producer the entirety of the rights, titles and interests throughout the universe in perpetuity in and to all of The Works, including the copyright, any and all renewals and extensions of copyright, and the right to secure copyright registrations thereof. Participant grants to Producer the irrevocable right, license and permission, in perpetuity, to reproduce each musical composition written by Participant and each sound recording owned or controlled by Participant in the Program in any and all media, whether now known or hereafter devised (including television, radio and the Internet) and to reproduce, distribute and perform those compositions and sound recordings in connection with the Program. If Participant does not own all the rights to Participant’s musical compositions and/or sound recordings furnished or performed by Participant and embodied in the Program, Participant will cause the appropriate third party to license such compositions and/or sound recordings in accordance with the terms of section 2(a) of this Agreement. Waiver of Compensation In connection with all rights granted hereunder Participant agrees to and does hereby waive (and shall cause all applicable third parties to waive) all compensation arising out of or in connection with Participant’s appearance and the grant of rights hereunder. Warranties and Representations Participant represents and warrants the following: Participant has the authority to enter into this agreement and to grant all rights hereunder. Participant owns, controls or holds the applicable rights to any and all materials furnished by Participant for embodiment in the Program None of the results and proceeds of Participant’s services hereunder or any of the materials furnished by Participant as embodied in the Program shall infringe upon the rights of any other person or company. Indemnification Participant (or any of Participant’s respective agents) agrees to indemnify Producer and to hold Producer harmless against any liability, damages, costs, expenses, fees (including attorney fees and court costs) incurred by Producer in any claim, suit or proceeding arising out of, connected with or as a result of (i) any act or omission by Participant (or any of Participant’s respective agents) or (ii) any inconsistency with, failure of or breach or threatened breach by Participant of any warranty, representation, agreement, undertaking or covenant contained in this agreement including any claim, demand or action by any third party in connection with the foregoing, which has resulted in a judgment of which has been settled with Participant’s consent. Governing Law: Any dispute arising under or relating to this Agreement and/or Participant’s appearance on the program shall be submitted to binding arbitration under the rules of the American Arbitration Association. Any such dispute shall be governed by the laws of the State of California without regard to conflict of law provisions, and Participant agrees to personal jurisdiction and venue in the state and federal courts located in Los Angeles, California. Entire Agreement: This Memorandum constitutes the entire agreement between the parties and may not be modified, except by a written instrument signed by all of the parties. Participant’s acknowledgement below represents that Participant has read and agrees to all of the terms referenced in this Agreement. I give permission to the Producer of Detroit's Big Shot talent competition to use a recording of my performance.HiddenVaccine / Test COVID ConsentAll entrants will be required to show proof of complete vaccination or COVID test that are less than 48 hours old and show negative results.
